Job Summary:
The Corporate Lawyer will be responsible for providing legal advice and support to the organization on corporate and commercial matters. They will handle a wide range of legal issues, including but not limited to corporate governance, mergers and acquisitions, contract negotiation, and regulatory compliance. The Corporate Lawyer will work closely with internal stakeholders to ensure legal risks are identified and managed effectively.
Responsibilities:
1. Provide legal counsel and guidance on corporate and commercial matters, including but not limited to mergers, acquisitions, joint ventures, and corporate reorganizations.
2. Draft, review, and negotiate a variety of contracts, agreements, and legal documents, such as shareholder agreements, partnership agreements, and vendor contracts.
3. Ensure compliance with relevant laws, regulations, and corporate governance principles.
4. Conduct legal research and analysis to stay updated on changes in laws, regulations, and industry best practices.
5. Advise on legal risks associated with business decisions and propose appropriate strategies to mitigate those risks.
6. Collaborate with cross-functional teams to support corporate initiatives and provide legal guidance on strategic projects.
7. Represent the organization in legal proceedings, if necessary, and manage external counsel when required.
8. Maintain accurate and organized legal documentation and records.
9. Develop and deliver training programs to educate employees on legal matters and compliance requirements.
10. Stay informed about industry trends, emerging legal issues, and regulatory developments affecting the organization.
Skills and Qualifications:
1. Juris Doctor (J.D.) degree from an accredited law school.
2. Admission to the Bar in the relevant jurisdiction.
3. Minimum [X] years of experience as a corporate lawyer, preferably in a law firm or in-house legal department.
4. In-depth knowledge of corporate laws, regulations, and best practices.
5. Proven experience in handling corporate transactions, including mergers and acquisitions.
6. Strong contract drafting and negotiation skills.

8. Ability to effectively communicate complex legal concepts to non-legal stakeholders.

12. Proficiency in using legal research tools and technology.
